Terms of Service
1. Acceptance of the terms
By accessing or using audio2texts (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
2. The service
audio2texts converts audio and video files into text using artificial intelligence. The Service is provided over the internet, through your web browser, with a free plan and paid plans.
The Service is operated by Staminna LLC, a limited liability company organized under the laws of the State of Wyoming, United States. In these Terms, "we", "us", "our" and "audio2texts" refer to Staminna LLC.
3. Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. Some features require an account. You are responsible for keeping your credentials confidential and for all activity under your account. You may register by email, by email code, or by signing in with Google. Notify us promptly of any unauthorized use of your account.
4. Plans, payments and cancellation
- The free plan allows a limited number of transcriptions per day, with a maximum duration per file.
- Paid plans (Pro and Studio) are recurring subscriptions processed by Stripe. Charges renew automatically at the end of each billing period (monthly, semiannual, or annual) until you cancel.
- You may cancel at any time from the "My account" area; paid access continues until the end of the period already paid for. Except where required by law, payments are non-refundable.
- Prices may change; we will give reasonable advance notice, and changes do not affect a period already paid for.
- You are responsible for any taxes associated with your use of the Service, except for taxes based on our net income.
5. Acceptable use
You represent that you have the necessary rights to any content you submit. You agree not to use the Service to: (a) upload unlawful material or material that infringes the rights of others; (b) transcribe content without the authorization required to do so; (c) violate any applicable law or regulation; or (d) attempt to disrupt, reverse engineer, or compromise the security or integrity of the Service. We may suspend or terminate accounts that violate these Terms.
6. Your content and intellectual property
Content you submit remains yours. You grant us a limited license to process it solely to provide the Service to you (for example, to generate and store your transcripts). The audio2texts name, software, and interface are owned by us or our licensors and may not be copied, modified, or distributed without permission.
7. Third-party services
The Service relies on third-party providers, including AI transcription processors, Stripe (payments), an email delivery provider, and hosting infrastructure. Your use of those features may also be subject to the providers' own terms. We are not responsible for third-party services.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Automated transcription may contain errors and should be reviewed by you. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, audio2texts AND STAMINNA LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Staminna LLC and its officers, members, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, or your violation of these Terms.
11. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us to attempt to resolve the dispute informally.
